  14.                 SELLER'S AGREEMENT TO REPURCHASE

  17. Seller agrees that it will at any time up to @004, upon receipt
  18. of a written request from Buyer, repurchase any of the following
  19. classes of goods sold by Seller to Buyer:

  25. which are unused (except as they may be displayed for sale) and         
  26. in the original shipping containers, at a price equal to the full 
  27. purchase price less a restocking fee of @005 per cent of the 
  28. purchase price of such goods. Return shipping shall be paid by

  32. The Buyer may, without notice to Seller, assign his right       
  33. require repurchase of all or any goods to any bank, finance         
  34. company or other financier to whom any security interest in the         
  35. goods, or any of them, may be granted, and in any such event,         
  36. Seller will not assert as against any such bank, finance company         
  37. or other secured party, any right of set-off, recoupment or         
  38. counterclaim which may now exist or hereafter arise under or by         
  39. virtue of any transaction between Seller and Buyer except for the 
  40. restocking fee stated herein, and freight if applicable.

  43. Seller shall not be obligated to repurchase any goods        
  44. under this contract unless and until it shall have been furnished         
  45. assurances which are in its opinion adequate to insure that the         
  46. goods will be delivered to Seller free and clear of any and all         
  47. liens, encumbrances, security interests and other claims of third         
  48. parties to the goods.
